Terms of Service — cpum.ai

These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent, "you") and cpum.ai ("cpum.ai", "we", "us", or "our") governing your access to and use of the cpum.ai platform, including the hosted dashboard, the host-installed collector agent, the mobile application, the desktop tray application, the browser extension, and any associated APIs and integrations (collectively, the "Service").

By creating an account, installing the agent, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account & eligibility

You must be at least 16 years old to use the Service. You are responsible for the accuracy of your account information, for safeguarding your authentication credentials and API keys, and for all activity that occurs under your account. Notify us immediately at security@cpum.ai if you suspect unauthorized access.

2. Plans, fees, and trials

cpum.ai is offered on Free, Pro, Team, Scale, and Enterprise tiers. Current pricing and tier limits are published at cpum.ai and may change with at least 30 days' notice to active paid customers. Subscriptions renew automatically at the end of each billing period unless cancelled. You authorize us (via Stripe) to charge your payment method for recurring fees, applicable taxes, and any usage-based charges.

Free trials, if offered, automatically convert to paid subscriptions at the end of the trial period unless you cancel beforehand. Refunds are not provided for partial billing periods except where required by law.

3. Acceptable use

You will not, and will not permit anyone else to:

Use the Service to monitor systems you do not own or are not authorized to monitor.
Reverse engineer, decompile, or attempt to extract source code from any closed-source component of the Service.
Probe, scan, or test the vulnerability of any cpum.ai system except under our published responsible disclosure program at security@cpum.ai.
Send unlawful, infringing, harassing, malicious, or deceptive content through the Service or use it to facilitate any illegal activity.
Use the Service to send unsolicited communications, spam, or to bypass any rate limits, quota, or budget guardrail.
Resell, rebrand, or sublicense the Service without our prior written consent.
Submit personal data of EU/UK data subjects without ensuring you have a lawful basis under applicable data protection law.

We reserve the right to suspend or terminate accounts engaged in activity that violates these Terms or that materially threatens the security or stability of the Service or its other users.

4. Your data & license to us

You retain all rights to operational telemetry, integration credentials, configuration data, and other content you submit to the Service ("Customer Data"). You grant cpum.ai a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, analyze, and process Customer Data solely as necessary to operate, maintain, secure, and improve the Service for you, including running AI investigations on your behalf.

We do not use Customer Data to train shared machine-learning models. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

5. AI features

The Service includes AI-generated outputs (investigations, postmortems, recommendations) produced by third-party large language models. AI outputs are probabilistic and may be inaccurate, incomplete, or out of date. You are responsible for reviewing any AI output before relying on it for production actions, and cpum.ai disclaims liability for actions taken solely on the basis of an AI output. AI usage is subject to per-account budget caps as published in your account settings; we may rate-limit, gate, or pause AI features when those caps are exceeded.

6. Intellectual property

The Service, including all software, models, designs, documentation, trademarks, and logos, is the property of cpum.ai or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Open-source components of the Service are licensed under their respective open-source licenses (e.g., the agent collector is published under Apache-2.0). Those licenses control over these Terms with respect to those components.

7. Third-party integrations

The Service integrates with third-party services (Slack, GitHub, PagerDuty, Stripe, Anthropic, OpenAI, and others). Your use of those services is governed by the third party's own terms; cpum.ai is not responsible for the availability, accuracy, or behavior of any third-party service.

8. Service levels and uptime

We aim for high availability but the Service is provided on an "as available" basis. Specific uptime commitments and credits are available only under a separate Enterprise agreement. Free and Pro tiers carry no formal SLA.

9. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF DATA, OR UNINTERRUPTED OPERATION. CPUM.AI DOES NOT WARRANT THAT ITS DIAGNOSTICS, AI OUTPUTS, OR ALERTS WILL DETECT OR PREVENT ANY PARTICULAR INCIDENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPUM.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CPUM.AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO CPUM.AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You will indemnify and hold harmless cpum.ai from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your Customer Data or your use of it, or (c) your monitoring of systems you were not authorized to monitor.

12. Termination

You may terminate your account at any time from account settings. We may suspend or terminate your access immediately for material breach of these Terms, non-payment, or to protect the security or integrity of the Service. On termination, your right to use the Service ceases; sections that by their nature should survive (including 4 — limited to your retained rights in Customer Data — 6, 9, 10, 11, 13, and 14) will survive.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

14. Changes to these Terms

We may modify these Terms from time to time. Material changes will be posted at this URL and announced by email at least 30 days before they take effect for active paid customers. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy and any order form or written agreement between you and cpum.ai, constitute the entire agreement between the parties. If any provision is held unenforceable, the remaining provisions remain in effect. cpum.ai's failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; any attempted assignment in violation is void.
